These Terms of Service ("Terms") govern your access to and use of the TrueTake platform, website, and related services (collectively, the "Service") provided by TrueTake, Inc. ("TrueTake," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By creating an account, you represent that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update it as necessary. You must notify us immediately of any unauthorized use of your account.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload, distribute, or transmit any content that infringes on the intellectual property or privacy rights of others
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Use automated means (bots, scrapers, crawlers) to access the Service without our written consent
  • Interfere with or disrupt the integrity or performance of the Service
  • Use another person's digital likeness or persona data without proper authorization

4. Digital Likeness and Persona Rights

TrueTake provides tools for managing, licensing, and protecting digital likeness and persona rights. You retain all ownership rights to your digital likeness and persona data that you upload to the Service. By uploading content, you grant TrueTake a limited license to host, display, and process that content solely for the purpose of providing the Service to you.

You represent and warrant that you have all necessary rights and authorizations to upload and license any digital likeness or persona data you provide through the Service.

5. Deals and Transactions

The Service facilitates licensing deals between talent organizations and brand organizations. TrueTake acts as a platform provider and is not a party to any deal between users unless explicitly stated.

  • Deal terms: All deal terms are agreed upon between the participating parties. TrueTake does not guarantee the outcome of any deal or negotiation.
  • Escrow payments: Payments made through the platform's escrow system are held by our third-party payment processor in accordance with the deal terms. Release of funds is subject to the conditions agreed upon by the parties.
  • Electronic signatures: By using the e-signature features of the Service, you agree that electronic signatures are legally binding and equivalent to handwritten signatures to the extent permitted by applicable law.

6. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by TrueTake and protected by intellectual property laws. These Terms do not grant you any right to use TrueTake's trademarks, logos, or brand features without our prior written consent.

7. Consent-First AI Policy

TrueTake is built on a consent-first model for AI and technology. We will not use your content, digital likeness, or persona data to train AI models without your explicit, informed, and revocable consent. Any AI features offered through the platform will clearly disclose their functionality and require your opt-in before activation.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. You may delete your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will survive.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, TrueTake and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service. Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amounts you have paid to TrueTake in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless TrueTake and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
